1. Overview & Acceptance

Welcome to Chuapi. These Terms of Service ("Terms") constitute a legally binding agreement between you and Pirobeta Labs LLC ("Pirobeta Labs," "we," "us," or "our"), governing your access to and use of the Chuapi platform, including any website, mobile application, or related service (collectively, the "Service").

BY ACCESSING OR USING CHUAPI, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICE.

We reserve the right to modify these Terms at any time. Continued use of the Service after any modification constitutes your acceptance of the updated Terms.

2. About Chuapi

Chuapi is a digital platform designed to help people form meaningful connections through curated interactions and intentional engagement. It is owned and operated by Pirobeta Labs LLC, a limited liability company organized under the laws of the State of Florida, United States.

Chuapi is a technology platform — not a matchmaking service, professional service, or agency. We provide tools and features to facilitate connections, but we do not control, screen, or verify the conduct, identity, or intentions of any user.

3. Eligibility

To create an account and use Chuapi, you must:

Be at least 18 years of age, or the age of majority in your jurisdiction, whichever is greater
Have the legal capacity to enter into a binding contract
Not be prohibited from using the Service under applicable law
Not have been previously banned or removed from Chuapi or any affiliated platform
Not have been convicted of a violent crime, sexual assault, or any offense involving minors

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

Provide accurate, complete, and current information at all times
Use only one account and not create duplicate or fake profiles
Notify us immediately of any unauthorized access to your account
Not transfer or share your account with any other person

5. User Content & License Grant

You may submit or upload profile information, photos, messages, descriptions, preferences, and other materials (collectively, "Your Content"). You retain ownership of Your Content.

By submitting Your Content, you grant Pirobeta Labs LLC a worldwide, non-exclusive, royalty-free license to host, store, copy, display, reproduce, adapt, edit, translate, modify, create derivative works from, distribute, and otherwise use Your Content solely for the purpose of operating, improving, and providing the Service.

This license terminates when you delete Your Content or close your account. When you delete your account, we delete every conversation you were part of for both participants — unlike some platforms, we do not retain your sent messages in the other person's conversation history. We will not license your private messages or private photos to third parties without your explicit consent.

You represent and warrant that Your Content does not violate any third-party rights, applicable laws, or these Terms, and that you have all rights necessary to grant the license above.

Aggregated or anonymized data derived from platform activity may be used to improve Chuapi and develop other products and services of Pirobeta Labs. We will never sell your personally identifiable private conversations to third parties.

6. Prohibited Conduct

You agree not to, and will not facilitate others to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
Impersonate any person or entity, or misrepresent your identity or affiliation
Post or transmit content that is harassing, threatening, abusive, hateful, defamatory, obscene, or harmful
Share content involving minors in a sexual or harmful context
Solicit money, financial information, or gifts from other users
Use bots, scripts, crawlers, or automated tools to access or interact with the Service
Scrape, harvest, or collect data about other users without express written consent
Attempt to reverse engineer, decompile, or tamper with any part of the Service
Create multiple accounts or use the Service after being suspended or terminated
Engage in any form of fraud, scam, or deceptive practice
Interfere with the security, integrity, or performance of the Service
Use the platform to facilitate, promote, or engage in sex trafficking, prostitution, or any form of human trafficking

7. Human Trafficking & FOSTA-SESTA Policy

Chuapi strictly prohibits the use of its platform to facilitate sex trafficking, prostitution, or any form of human trafficking. This prohibition is absolute and applies regardless of the consent or age of the individuals involved.

In compliance with the Allow States and Victims to Fight Online Sex Trafficking Act (FOSTA) and Stop Enabling Sex Traffickers Act (SESTA), Chuapi will cooperate fully with law enforcement investigations into trafficking-related activity on or coordinated through the platform.

Violations of this policy will result in immediate and permanent account termination, and may be reported to law enforcement and relevant authorities, including the National Center for Missing & Exploited Children (NCMEC).

8. No Background Checks

CHUAPI DOES NOT CONDUCT CRIMINAL BACKGROUND CHECKS, IDENTITY VERIFICATION, OR SCREENING OF ANY KIND ON ITS USERS. We are not responsible for the conduct of any user on or off the platform.

The inclusion of any user on the platform does not constitute an endorsement, recommendation, or warranty regarding that user's character, identity, or intentions. You assume all risk when interacting with other users.

IMPORTANT: Chuapi does not verify whether users appear on any sex offender registry. For information on registered sexual offenders, visit the Florida Department of Law Enforcement Sex Offender Registry at www.fdle.state.fl.us or the National Sex Offender Public Website at www.nsopw.gov.

9. Platform Communications

The Chuapi platform may send you messages from a Chuapi team account to provide safety information, account updates, onboarding guidance, and platform support. These messages are sent by Chuapi staff or automated systems operated by Pirobeta Labs — not by other users of the platform.

Any account identified as "Chuapi," "Chuapi Team," or "Chuapi Support" within the app represents official platform communications from Pirobeta Labs LLC. These are not romantic or social connections — they are operational messages from the company.

Pirobeta Labs staff will never ask you for your password, payment information, or personal identifying documents through in-app messages.

10. Privacy

Your use of Chuapi is also governed by our Privacy Policy, incorporated into these Terms by reference. By using the Service, you consent to the collection, use, and sharing of your data as described in the Privacy Policy.

11. Subscriptions & Payments

Chuapi may offer paid subscriptions, premium features, or virtual items. All purchases are subject to the following:

Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date
To cancel your subscription, go to Account Settings > Subscription > Manage Subscription, which opens our secure billing portal where you can cancel. Cancellation takes effect at the end of the current billing period — you retain access until that date
All purchases are final and non-refundable except where required by applicable law
Virtual items and credits have no monetary value, are non-transferable, and cannot be exchanged for cash
We reserve the right to change pricing at any time with reasonable advance notice
Failure to pay any amounts owed may result in suspension or termination of your account

12. Account Suspension & Termination

You may delete your account at any time through the app settings. We reserve the right to suspend, restrict, or permanently terminate your account at any time, for any reason or no reason, in our sole discretion, without prior notice and without liability to you. Reasons may include, but are not limited to:

Violation of these Terms or our Community Guidelines
Conduct that is harmful, offensive, or threatening to other users or to Pirobeta Labs
Suspected fraud, misrepresentation, or criminal activity
Extended inactivity
Any other reason at our sole discretion

13. Account Suspension Appeals

If your account has been suspended and you believe the action was taken in error, you may contact us to request a review. Send an appeal to chuapi.app@gmail.com with the subject line "Account Appeal" within 30 days of the suspension. Include your registered email address and a description of why you believe the suspension should be reversed.

We will review your appeal and respond within 10 business days. Our decision on appeals is final.

Accounts permanently terminated for violations involving illegal activity, human trafficking, sexual exploitation of minors, or repeated serious safety violations are not eligible for appeal.

If your account is terminated by Pirobeta Labs for reasons unrelated to a violation of these Terms (e.g., service discontinuation), any unused prepaid subscription period will be refunded on a pro-rated basis.

14. Intellectual Property

All rights, title, and interest in and to the Service, including all software, algorithms, branding, logos, designs, text, graphics, visual interfaces, and proprietary technology, belong exclusively to Pirobeta Labs LLC and its licensors.

Nothing in these Terms grants you any right to use our trademarks, trade names, logos, or other proprietary content without our prior written permission.

Any feedback, suggestions, or ideas you provide about the Service may be used by us freely and without any obligation or compensation to you.

15. DMCA & Copyright

Pirobeta Labs LLC respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). If you believe content on Chuapi infringes your copyright, you may submit a takedown notice in accordance with our DMCA Policy.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PIROBETA LABS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

PIROBETA LABS LLC DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (D) THE SERVICE OR ANY SERVER THAT MAKES IT AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PIROBETA LABS OR THROUGH THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIROBETA LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO PIROBETA LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to indemnify, defend, and hold harmless Pirobeta Labs LLC and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

Your access to or use of the Service
Your Content or any content you submit, post, or transmit
Your violation of these Terms or any applicable law or regulation
Your violation of any rights of a third party, including other users
Any harm you cause to another user or third party through your use of the Service

19. Release of Claims

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE PIROBETA LABS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUCCESSORS FROM ANY AND ALL CLAIMS, DEMANDS, LOSSES, DAMAGES, RIGHTS, AND ACTIONS OF ANY KIND, INCLUDING PERSONAL INJURIES, DEATH, AND PROPERTY DAMAGE, THAT EITHER DIRECTLY OR INDIRECTLY ARISES FROM YOUR INTERACTIONS WITH OR CONDUCT OF OTHER USERS OF THE SERVICE.

This release does not apply to claims arising from Pirobeta Labs's own fraud, gross negligence, or willful misconduct.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE."

20. Dispute Resolution & Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution: Before initiating any formal dispute, you agree to contact us at chuapi.app@gmail.com and attempt to resolve the dispute informally. We will attempt to resolve the dispute within sixty (60) days of receiving your notice.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in English in the State of Florida, United States. AAA's rules are available at www.adr.org.

Arbitration Fees: For claims under $10,000 USD, Pirobeta Labs will pay all AAA filing, administrative, and arbitrator fees unless the arbitrator finds your claim frivolous. For claims above $10,000 USD, fees will be allocated in accordance with the AAA Consumer Arbitration Rules.

Arbitrator Authority: The arbitrator shall have exclusive authority to resolve all disputes, including as to the scope and enforceability of this arbitration agreement. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to chuapi.app@gmail.com within thirty (30) days of the date you agreed to these Terms. Your opt-out notice must include your name, registered email address, and a clear statement that you wish to opt out of arbitration. We will confirm receipt of your opt-out by email.

Exceptions: Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration. You may also pursue claims in small claims court if your claim qualifies.

21. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL CLAIMS AND DISPUTES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

NEITHER YOU NOR PIROBETA LABS MAY PARTICIPATE IN OR CONSOLIDATE CLAIMS WITH THOSE OF ANY OTHER PERSON OR ENTITY WITHOUT THE WRITTEN CONSENT OF ALL PARTIES. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE FOR ANY REASON, THE ARBITRATION AGREEMENT SHALL BE NULL AND VOID.

22. Third-Party Services & Links

The Service may contain links to or integrate with third-party websites, services, or applications. Pirobeta Labs is not responsible for the content, privacy practices, or availability of any third-party service. Your interactions with third-party services are governed by their own terms and policies.

23. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

To the extent any dispute is not subject to arbitration, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Miami-Dade County, Florida.

24. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, Community Guidelines, AI Policy, and DMCA Policy, constitute the entire agreement between you and Pirobeta Labs LLC with respect to the Service and supersede all prior agreements or understandings.
